Dubai Free Zone Renewal Cost: What Year Two Really Costs

Every first-year setup guide quotes the licence fee and stops there. Year two adds visa renewals, an establishment card fee, office or flexi-desk renewal and, if you miss a date, a late penalty that can exceed the licence fee itself. Here is what actually shows up on the year-two invoice.

Dubai Free Zone Renewal Cost: What Year Two Really Costs

Key takeaways

  • The year-one licence fee is not your recurring cost. From year two the invoice adds visa renewal, a new Emirates ID per visa holder, establishment card renewal and office or flexi-desk renewal on top of the licence.
  • Late renewal costs money from the expiry date, not from the day you notice. A missed reminder turns a routine renewal into a fine on top of it.
  • Visa renewal scales with headcount. A founder renewing alone pays for one set of medical, Emirates ID and stamping costs. A five-person team pays for five.
  • Downgrading a flexi-desk package or dropping unused visa quota before renewal are the main levers you control over the year-two total.
  • Meant plans company renewal alongside a client's website and launch budget, so year two is a line item, not a surprise.

What Shows Up on a Year-Two Renewal Invoice That Year One Didn't

The free zone renewal cost is the licence renewal plus every recurring item attached to it: each residence visa, each Emirates ID, the establishment card and the office or flexi-desk. At Meant we set up and renew UAE companies for founders who mostly run their businesses from somewhere else. The most common budgeting error is simple. Founders treat the headline licence price they were quoted in year one as the annual cost.

It isn't. Year one's quote is usually a package. Year two is an itemised bill.

The four line items beyond the licence fee

The four that catch people out are the visa renewal, the Emirates ID, the establishment card and the desk. The Emirates ID belongs on its own line. The UAE's identity and immigration authority, ICP, describes its residence renewal service as issuing a new residence permit together with an Emirates ID application. Year two pays for a new ID for every visa holder, not only the visa.

Why first-year guides only quote the licence

Setup guides compete on one number, and the licence fee is the easiest to compare. Package prices also bundle a desk, an establishment card and sometimes one visa into a single figure, which hides how each piece renews. Some year-one fees really are one-off, so the licence line on the year-two invoice can look smaller than year one. The total rarely is.

We cover company setup as part of a wider brief: positioning, the website, the launch. You can read more about the studio behind Meant. We also build sites for Dubai businesses such as Oleum Crete, whose headless Shopify Hydrogen storefront is live at oleumcrete.ae. Both run on the same calendar, which is why we plan the renewal and the launch together rather than treat them as separate budgets.

Licence Renewal Fee: What Actually Changes From Year One

The licence renewal is the closest thing to a fixed cost in year two. It renews the permission to trade under the activities on your licence, from the office type on your file. Licence renewal fees are set by each free zone authority and published in its own price list. We haven't quoted figures here, because published prices change and the only number worth budgeting against is the current official list for your zone.

Same activities, same fee: when renewal is flat

If nothing about the company has changed, the licence renewal tends to be predictable. You keep the same activities, the same office category and the same shareholder structure. Renewal confirms what is already on file, and you pay the standard renewal fee for that configuration. The one-off registration costs from incorporation drop away.

What raises the renewal fee year to year

Three things move the number:

  • Adding activities. Each free zone groups activities differently. Adding one from a separate group, or one that needs external approval, can change the fee or add an approval cost.
  • Changing office type. Moving from a flexi-desk to a dedicated office, or the reverse, changes what you renew and often how many visas the company can sponsor.
  • Changing ownership or legal structure. Adding a shareholder or amending the memorandum is usually a separate paid service, and it tends to land at renewal time because that is when founders tidy things up.

The free zone can also revise its own price list between your first year and your second. Check the current schedule before you renew. Don't rely on last year's invoice.

Visa Renewal: The Cost That Scales With Your Headcount

Free zone visa renewal is charged per person. Every visa on the company carries its own set of fees, so the total grows with each hire, each partner and each dependant you sponsor.

Medical, Emirates ID and stamping: three separate renewals

Each residence visa renewal sits on three distinct steps, and each has its own fee:

  1. Medical fitness test. It is done in person at an approved centre, so the visa holder has to be in the UAE.
  2. Emirates ID. ICP issues the renewed residence permit together with a new Emirates ID application.
  3. Residence permit renewal and stamping. The visa itself, processed through the free zone and the immigration authority.

Two ICP requirements catch founders out. First, the applicant needs a passport valid for no less than 6 months, according to ICP's renewal terms. If your passport expires soon, renew it first, and allow for the time that takes in your home country. Second, ICP states that all residence issuance requirements must be maintained when applying for renewal. Whatever supported the visa in year one has to still be in place in year two: a valid licence, a valid establishment card and enough quota on your desk or office.

Why hiring between year one and year two changes the total

A founder who incorporated with one visa and then hired two people will renew three visas, not one. If a partner's spouse and children are sponsored, they renew too. Each person adds a medical, an Emirates ID and a residence renewal. The arithmetic is simple, but it rarely appears in the original budget, because the original quote was built for one person.

Hiring also changes the quota. If the company now sponsors more people than its desk package allows, you may need to upgrade the desk before the visas can renew. That knocks on to the next section.

Establishment Card and Office or Flexi-Desk Renewal

These are the two year-two setup costs that first-year guides most often leave out. Neither is large on its own. Both are tied to the licence, and both can block visa renewals if they lapse.

Why the establishment card renews separately from the licence

The establishment card (often called the immigration card) registers the company with the immigration authority as a visa sponsor. It is a company document, not a personal one. It has its own validity date and its own renewal fee. In many free zones its date lines up with the licence, but it is still a separate step and a separate charge. If it expires, the company cannot process visa renewals or new visas until it is renewed. Some setup packages renew it for you. Others leave it to you. Read your package terms.

Flexi-desk vs dedicated office: which renewal cost grows

Flexi-deskDedicated office
What you renewA desk-sharing or hot-desk packageA lease on a physical unit
Visa quotaUsually low and fixed per packageUsually higher, often linked to floor area
How the cost growsUpgrading the package to add visa quotaLease terms, unit size, any service charges
Easiest to downsize?Yes, by changing package at renewalHarder, depends on lease terms

A flexi-desk renewal stays flat until headcount pushes past the package's visa quota. Then you upgrade, and the desk becomes a larger line. A dedicated office costs more from the start, but the quota is usually larger, so hiring does not force an upgrade as often. Neither choice is right in general. It depends on how many people you will sponsor over the next twelve months.

Late Renewal Penalties: What They Cost and When They Start

The late fee is the most avoidable cost in year two. On the visa side it accrues from the date of expiry, not from the date anyone notices.

ICP's terms are explicit: "a fine of AED 50 will be charged for each day of stay in the country after the visa has expired or been cancelled" (ICP). Licence and establishment card late fees are set by each free zone and published in its own regulations. We could not confirm a single official figure that applies across free zones, so check yours before the date passes.

The grace period founders assume exists but often doesn't

Many founders assume there is a comfortable window after expiry. For most visa holders, the official grace period is not the one they have heard about. ICP grants a 180-day grace period after expiry or cancellation for Golden, Green and Blue Residence holders and their family members. Standard employment and investor visas are not on that list. Some free zones allow a short window on the licence itself. Others don't. Treat the expiry date as the deadline.

What a lapsed licence does to your renewal

A lapsed licence affects more than the licence itself. Because renewal requires the original issuance conditions to be maintained, an expired licence can stop every visa on the company from renewing until it's fixed. The fix is administrative, not complicated: a calendar with every expiry date on it, and someone who owns it.

How to Cut the Free Zone Renewal Cost Before You Renew

You have the most control before the renewal is submitted. After that, you are paying for whatever configuration is on file.

Audit your visa quota before you renew, not after

  1. List every visa on the company, with expiry dates and passport expiry dates. Flag any passport under six months from expiry at the planned renewal date.
  2. Compare quota used against quota held. If your desk package allows more visas than you sponsor and you don't plan to hire, ask the free zone whether a smaller package is available.
  3. Cancel visas you no longer need before renewal, following the proper cancellation process. A visa you don't renew still has to be closed correctly.
  4. Review your activities. If you added an activity you never used, removing it at renewal may lower the fee. Ask the free zone before assuming it will.
  5. Book medicals early for anyone who has to fly in. The test is in person, and a missed slot pushes the visa past its date.

When switching free zones costs less than staying put

Sometimes another free zone offers a better fit for the company you have now: a different activity grouping, a desk package that matches your headcount, or a structure that suits how you trade. Switching is not free. It usually means a new licence, a new establishment card and a new visa for everyone sponsored, plus deregistration costs in the old zone. It only pays when the saving over the next few years is larger than those one-off costs. Run the comparison with the current official price lists from both authorities, and take advice from a qualified UAE corporate adviser before you commit. The right answer depends on your activities and ownership.

Frequently asked questions

Does the renewal cost change if I add a visa in year two?

Yes. Each visa adds its own medical, Emirates ID and residence renewal, so the total rises per person. If the new visa takes you past your desk or office quota, you may also need to upgrade the package before it can be issued.

What happens if I miss the free zone licence renewal deadline?

The free zone charges a late fee under its own rules, and the company may not be able to renew or issue visas until the licence is current. On the visa side, ICP charges AED 50 for each day of stay after a visa has expired or been cancelled.

Can I downgrade my flexi-desk package to cut renewal costs?

Often, yes, if the smaller package still covers the visas you sponsor. ICP requires the original residence issuance requirements to be maintained at renewal, so a desk that no longer supports your quota can block visa renewals. Check with your free zone before you change package.

Do all UAE free zones charge the same renewal and visa fees?

No. Licence renewal fees, establishment card fees, desk packages and late fines are set by each free zone authority. The ICP residence and Emirates ID steps apply across the country, but how they are bundled and priced through each free zone differs. Use each authority's current official price list to compare.

Is the establishment card renewed automatically with the licence?

Not always. It is a separate document with its own fee, even when its expiry date matches the licence. Some setup packages include it in the renewal and some don't, so confirm in writing which applies to you.
